These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the website nutranautix.com (the "Site"), as well as all commercial transactions, wholesale purchases, product formulations, and supply agreements provided by Nutranautix LLC, its subsidiaries, affiliates, and registered DBAs (collectively, "the Company," "we," "us," or "our").
By accessing this Site, submitting a corporate inquiry, or issuing a purchase order to us, you ("Client," "Buyer," "User," "Authorized Distributor") agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Site and our services.
1. Corporate Identity & Scope of Services
Nutranautix LLC is a primary B2B nutraceutical innovation and supply chain enterprise registered in the State of New Mexico, USA, with administrative office infrastructure in California. We provide premium clinical-grade product formulations, bulk wholesaling, and global contract manufacturing coordination. We do not sell dietary supplements directly to retail consumers via this Site.
2. Commercial Accounts & B2B Eligibility
By entering into a commercial relationship with us, you represent and warrant that:
- You are acting strictly on behalf of a legally recognized business entity in your local jurisdiction.
- All corporate registration, tax identification, and facility licensing data you provide is accurate and current.
- You possess all necessary regulatory permits to import, distribute, or resell nutraceutical products within your target markets.
3. International Manufacturing & Sourcing Framework
- Regulatory Frameworks: Our products are manufactured through an elite contract network utilizing advanced facilities operated by our vetted manufacturing partners in Germany and other premium European nodes. All production is conducted under strict European Union Good Manufacturing Practices (EU-GMP), IFS, and BRC food safety certifications.
- Compliance Mapping: While our manufacturing networks adhere to rigorous global benchmarks equivalent to US FDA cGMP (21 CFR Part 111) standards, the Buyer holds final responsibility for ensuring that the specific formulations ordered comply with the local food, drug, and labeling laws of the importing country.
4. Global Shipping, Logistics, & Territorial Distribution
Unless explicitly modified in writing via a specific corporate Proforma Invoice or Sales Contract, all international shipments are governed by the International Chamber of Commerce (ICC) Incoterms 2020:
- Standard Terms (EXW / FOB): Shipments originating from our European manufacturing nodes are dispatched under EXW (Ex Works) or FOB (Free on Board) terms.
- Transfer of Risk: Title to the goods and the risk of loss or damage transfer entirely to the Buyer the moment the consignment is transferred to the designated carrier at our manufacturing or warehouse node.
- Customs & Territorial Importation: The Buyer acts as the independent Importer of Record. Nutranautix LLC is not liable for international shipping delays, customs impoundments, regulatory holds, or border rejections originating from non-compliant localized labeling or territorial ingredient bans.
- Regional Market Operations: All products imported into international target territories are managed under standard, arm's-length commercial supply frameworks via our authorized local independent distribution partners. Local distribution partners operate as separate corporate entities entirely responsible for securing their own localized Food and Drug Administration (FDA) License to Operate (LTO) and corresponding Certificates of Product Registration (CPR).
5. Intellectual Property & Territorial Usage Rights
- Retention of Ownership: All formulations, trade secrets, specifications, product designs, and global trademarks remain the sole and exclusive intellectual property of Nutranautix LLC (US). No transfer of ownership occurs through the sale of goods.
- Limited Territorial License: The Company grants authorized local distributors within their respective approved territories a non-exclusive, revocable, and limited right to use our brand names, product titles, and marketing assets strictly for local marketing, securing necessary regulatory filings, and localized commercial distribution.
- Restricted Registration Rights: Authorized local distributors are strictly prohibited from registering any of the Company's trademarks, brand names, web domains, or corporate DBAs under their own name within their local jurisdiction without explicit, prior written authorization from Nutranautix LLC.
6. Payment Terms & Financial Protocols
- Invoicing: All bulk transactions, formulation fees, and freight allocations will be formalized via customized corporate invoices.
- Currency & Settlement: Unless otherwise stipulated, all financial settlements must be executed in US Dollars (USD) or Euros (EUR) via secure electronic fund transfers (Wire/ACH) to our designated corporate banking repository.
7. Limitation of Liability
To the maximum extent permitted by applicable global law, Nutranautix LLC, its directors, employees, or manufacturing partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of corporate profits, business interruption, supply chain delays, or product recall expenses arising out of or relating to the use, distribution, or resale of our formulations. Our total liability for any certified claim shall not exceed the actual financial amount paid by the Buyer for the specific batch of goods under dispute.
8. Global Jurisdiction & Governing Law
- Primary Venue: These Terms and all commercial disputes arising from them shall be governed by, and construed in accordance with, the laws of the State of New Mexico, United States, without regard to its conflict of law principles.
- Arbitration: Any legal friction or contractual dispute that cannot be resolved amicably shall be settled through binding commercial arbitration in accordance with the rules of the American Arbitration Association (AAA), or an internationally recognized arbitration body mutually agreed upon by both corporate parties.
9. Modifications to Terms
We reserve the absolute right to amend, update, or restructure these Terms at any time to accommodate new global distribution nodes, regulatory updates, or shifting corporate structures. The updated text will be published directly here with a revised "Effective Date."
